1. What the words mean
- The firm: SAMIFISC, identified in the legal notice.
- The client: the individual or legal entity that entrusts an engagement to the firm, identified in the engagement letter or the accepted quote.
- The engagement: the services entrusted to the firm, defined by the engagement letter (bookkeeping or accounting supervision, tax and social filings, payroll, legal, advisory, audit…).
- The Client Portal: the application available at app.samifisc.com (and its components: document upload and viewing, filing tracking, messaging, appointment booking, Commercial Management and Payroll & HR modules, WhatsApp assistant, artificial intelligence assistance features).
- User: any person to whom the client grants access to its Client Portal (manager, employee, service provider).
- File (Dossier): all of the client's data, documents and settings in the Client Portal.
- Modules: Commercial Management (quotes, orders, deliveries, invoices, credit notes) and Payroll & HR (employees, contracts, payslips, HR documents, Form 9421 statement), operated by the client and supervised by the firm.
2. Scope and acceptance
These terms apply to every engagement, every accepted quote, every subscription and every use of the Client Portal. They are accepted by signing the engagement letter or the quote that refers to them, and at a user's first login to the Client Portal. They prevail over any document of the client, including its purchase terms, unless agreed in a written document signed by the firm.
The following form part of the contract, in this order of precedence in case of conflict: the engagement letter or accepted quote, the platform user agreement signed when the Client Portal is opened, these terms, the Data Processing Agreement and the Privacy Policy.
3. The engagement
The firm performs the engagement in accordance with Moroccan regulations and the rules of its profession, with the diligence expected of a professional: it has an obligation of means (obligation de moyens). The engagement letter specifies the scope of work, the documents expected from the client, the timetable and the fees. Anything not included — a one-off engagement, a tax audit, a legal transaction — is covered by a separate quote.
The firm prepares filings and documents from the records and information supplied by the client, for whose completeness and accuracy the client is responsible. The firm's task is not to look for fraud or irregularities, unless an audit engagement expressly provides for it. The deadlines and due dates shown in the Client Portal are tracking aids: compliance with legal obligations remains conditional on records being delivered within the agreed deadlines.
4. Client obligations
- Deliver to the firm, within the agreed deadlines, all necessary records and information — preferably through the Client Portal or the WhatsApp assistant, which file them in the client's file.
- Report without delay any event affecting the company (change of manager, address or activity, inspection, dispute, hiring or departure).
- Keep its original records for the statutory periods and check the documents submitted to it for validation or signature.
- Manage its users: grant access only to authorised persons, remove access without delay when a person leaves the company, protect login credentials and report any fraudulent use.
- Carry out its own CNDP formalities for the files for which it is responsible (employees, customers, suppliers) — the CNDP Compliance Commitment describes these steps.
- Obtain the consents due from its employees, customers and contacts before sending them messages from the modules, and not upload any unlawful content or malicious software.
- Pay fees and subscriptions on the agreed due dates.
5. Fees, invoicing and payment
Fees are set by the engagement letter or the quote: monthly flat fee, flat fee per engagement or hourly rate, in dirhams excluding tax; VAT is added at the rate in force. A fee invoice is issued on each due date and made available in the Client Portal; the client confirms its payment there and uploads the proof of payment, or does so from WhatsApp.
Invoices are payable on the date they state, by bank transfer. An invoice unpaid thirty (30) days after its due date bears interest at the statutory rate and may lead, after a reminder, to suspension of the Client Portal and of non-urgent work until the position is regularised; filing obligations whose delay would expose the client to penalties are pursued as far as possible. The firm may revise its fees at each annual renewal of the engagement, subject to thirty (30) days' notice.
6. The Client Portal
The Client Portal is made available to the client for the duration of the engagement. The firm endeavours to keep it permanently accessible, apart from announced maintenance and incidents beyond its control; unavailability gives no right to compensation, the firm remaining reachable through other channels (e-mail, telephone, WhatsApp) for any urgent record or information. The client uploads its records there, follows its filings and its position, communicates with the firm, books appointments and, if it activates them, operates its modules. Data extracted automatically from records (amounts, dates, third parties) are proposals subject to verification by the firm before any entry is made.
The firm may develop the Client Portal continuously (adding and improving features, fixes, regulatory adaptations). A change that would remove a feature used by the client is announced at least thirty (30) days in advance.
7. The Commercial Management and Payroll & HR modules
The modules are operated by the client, in its name and under its responsibility: it issues its quotes and invoices, and enters its employees' records and the payroll variables. The firm supervises: it validates payslips before they are issued, checks the entries proposed from invoices and remains the point of contact for the filings that result from them. A payslip validated by the firm can no longer be modified; a correction is made through a corrective payslip.
The legal payroll parameters (CNSS rates, AMO, income tax scale, SMIG…) are maintained by the firm and versioned: a validated payslip keeps the parameters in force on its date. The HR documents generated (contracts, certificates, amendments) are pre-filled templates that the client reviews and signs; they bind the firm only to the extent that the engagement letter includes employment-law advice.
8. WhatsApp assistant and artificial intelligence features
The WhatsApp assistant replies to the contacts recorded in the file, after verifying their identity by a code sent by e-mail, within the limits set by the firm (topics it handles alone, topics reserved for a person). It sends documents from the file, files the records received, reports on the status of the file, books appointments and records payment confirmations. A member of the firm can take over the conversation at any time; a "STOP" message ends messages to a number.
The artificial intelligence features — reading records, filing, the WhatsApp assistant, voice transcription and synthesis — are support tools. They produce proposals from the material provided and may be incomplete or erroneous; nothing they produce is an opinion, validation or decision of the firm until a member of the firm has confirmed it. These features are performed by model providers listed in the Data Processing Agreement, which receive only the records and messages necessary for the requested processing and do not use this content to train their models. The client may request at any time that the WhatsApp assistant stop replying to its contacts: the firm then removes their numbers from the file.
9. Confidentiality and professional secrecy
The firm and its staff are bound by professional secrecy for everything they learn in the course of the engagement. The data in the file is used only to perform the engagement and the firm's legal obligations; it is neither sold nor rented nor used to train an artificial intelligence model. Each party keeps the other's non-public information confidential during the engagement and for five (5) years afterwards.
As regards personal data, the firm is controller for matters relating to the relationship with the client and its own obligations, and the client's processor for payroll and the data of its employees, customers and suppliers, on the terms of the Data Processing Agreement.
10. The firm's commitments
- Perform the engagement diligently, within the agreed deadlines, and inform the client of any difficulty that would jeopardise them.
- Maintain the Client Portal, answer support requests during the firm's business hours and announce planned maintenance.
- Host the data in the European Union, encrypted in transit and at rest, backed up daily, with every uploaded file scanned for malware.
- Notify the client of any data breach affecting it within the time limits of the data processing agreement.
- Allow the client to export its data at any time, in reusable formats.
11. Liability
The firm's liability can be incurred only for proven direct damage resulting from a breach attributable to it in the performance of the engagement. It is covered by professional indemnity insurance and limited, for all causes combined per engagement year, to the amount of the fees received for the twelve (12) months preceding the triggering event, except in cases of intentional or gross misconduct and unless the law provides otherwise.
The firm is not liable for the consequences of late or incomplete delivery of records, of inaccurate information supplied by the client, of a decision taken by the client on the strength of an artificial intelligence proposal not confirmed by the firm, or of interruptions attributable to a third party (WhatsApp network, AI provider, DGI or CNSS online services, the client's operator) or to force majeure.
12. Term, suspension and end of the engagement
The engagement is concluded for the term set by the engagement letter — most often the financial year, renewable by tacit renewal. Either party may terminate it for the annual anniversary subject to three (3) months' notice, or at any time in the event of a serious breach by the other not remedied within thirty (30) days of a written formal notice. Fees for work already performed remain due.
The firm may suspend the Client Portal, after informing the client, in the event of persistent non-payment, use contrary to these terms, a security breach or a request from a competent authority. The suspension ends when its cause ends.
13. End of engagement: return, export and retention
At the end of the engagement, the firm returns to the client the documents that belong to it and provides, on request, the statements needed for the file to be taken over by another firm. The Client Portal remains accessible for reading and export for sixty (60) days; at the end of that period, the client's data is deleted from the active space and disappears from backups when their rotation expires, as described in the Data Processing Agreement.
The firm retains, outside the Client Portal, what its professional and legal obligations require: its working file, the filings submitted and their supporting documents, its invoices and accounting records, for ten (10) years. These archives remain covered by professional secrecy.
14. Intellectual property
The Client Portal and its components remain the property of the firm and its licensors; the client receives a personal, non-exclusive and non-transferable right of use, limited to the term of the engagement. The client's documents and data remain its property; it grants the firm the only licence necessary for hosting, processing and retaining them in the context of the engagement.
15. Changes to the terms
These terms may be amended. The new version is published on this page with its effective date and notified to clients in the Client Portal at least thirty (30) days beforehand, except for a change required by law or necessary for security. A client who refuses a substantial change may terminate the engagement before it takes effect; continuing the engagement after that date constitutes acceptance.
16. Governing law and disputes
The contract is governed by Moroccan law. The parties first seek an amicable solution; failing one within thirty (30) days of a written notification, the dispute is submitted to the competent courts of Agadir, unless a mandatory rule of jurisdiction provides otherwise. The logs, timestamps and records of the Client Portal are authoritative between the parties, unless proven otherwise.
